UAB VEIKA and Roland DG to create a new joint venture

On July 31, 2023 UAB VEIKA – a manufacturer and vendor of wallpaper and digital printing-related products – has signed an agreement with the world’s leading provider of digital printing solutions Roland DG Corporation to establish a new joint venture company, which shall become a part of Roland DG group.

The main goal of the new company will be to continue development of sustainable technologies for wallpaper and digital printing industries, while focusing on DIMENSE™ and Ecodeco™ technologies and using ink and media expertise coming from VEIKA, and know-how of printers development from Roland DG.

A team from Glimstedt, lead by Partner Aušra Maliauskaitė-Embrektė and Senior Associate Michailas Molis, has taken an active role in the project from its early stages and along with dedicated team of financial advisors from Oaklins has assisted the client though entire journey towards successful signing. Glimstedt was the main legal advisor to VEIKA providing full range of M&A related services to the client, including structuring the deal, assistance during the due diligence, drafting and negotiating the term sheet, the investment agreement, the shareholders agreement and other transaction documents.
