To create a new joint venture firm, the leading global provider of digital printing solutions, Roland DG Corporation, and VEIKA, a well-known manufacturer and dealer of wallpaper and associated goods, have teamed up.
The main goal of the new joint venture will be to continue the development of sustainable technologies for the wallpaper and digital printing industries. The focus will remain on DIMENSE™ and Ecodeco™ technologies, using ink and media expertise coming from VEIKA, and know-how of printer’s development from Roland DG.
A team from Glimstedt, led by Partner Aušra Maliauskaitė-Embrektė and Senior Associate Michailas Molis, has taken an active role in the project from its early stages and along with a dedicated team of financial advisors from Oaklins has assisted the client through entire journey towards a successful closing. Glimstedt was the main legal advisor to VEIKA providing a full range of M&A related services to the client, including structuring the deal, assisting during the due diligence, drafting and negotiating the term sheet, the investment agreement, the shareholder’s agreement and other transactions documents.
