Representative projects
Plays a leading role in the recent expansion of the Firm’s competition law practice which has boosted substantially after Rimantas Stanikūnas, former Chairman of the Lithuanian Competition Council, joined the Firm. Some examples of major competition law projects include:
Representing PZU in the case of an allegedly anticompetitive pool agreement with Lietuvos draudimas
Representing Limarko Shipping Agency in the case of recommended pricing arrangements
Advising the Lithuanian Railways on the alleged abuse of dominance by way of cross-subsidization and predatory pricing
Advising Lukoil Baltija in the investigation by the national competition authorities into the oil products retail sector
Is a member of the Firm’s Banking and Finance Law Group and has in-depth knowledge and experience of corporate finance law. As of recently, has been engaged in the formation of local private equity funds and continues to foster national private equity legislation to satisfy the needs of local and international investors. Some examples of banking, private equity, securities and corporate finance projects include:
Advising the fund manager on the structuring of the Business Angels' Fund established under the JEREMIE initiative launched by the European Investment Fund
Advising OOO OMA, a Byelorussian DIY chain-store, and its stakeholders on the credit facility made available by the International Finance Corporation (the World Bank Group)
Restructuring of the local financial arrangements between Baltic Commercial Properties AS, Baltic Sea Properties AS (funds formerly operated under the brand-name “Verdispar”) and SEB, Nordea and Swedbank
Advising Royal Unibrew A/S and its Lithuanian subsidiary Kalnapilio Tauro Grupė UAB on the multibillion club facility arrangement with Danske Bank AS, Nordea Bank Danmark AS and Nykredit Bank AS
Rendering year after year advice to numerous foreign banks and fund managers, such as BNP Paribas, Northern Trust, State Street Bank and some others, on Lithuanian law and practice in connection with the securities regulation and sovereign debt
Representing an Estonian client before the Lithuanian Securities Commission and the courts in the first securities manipulation case involving foreign jurisdiction of the Lithuanian Securities Commission
Representing US-based Export-Import Bank and its assignees in the bankruptcy proceedings against Ekranas
Since the beginning of his professional career has been advising clients on international transactions, including mergers and acquisitions, corporate reorganizations, real estate-driven transactions, international syndicated loans, project finance, private equity and other matters. Has been engaged in the following major projects:
Structuring of the standard investment documents package for Business Angels Fund I and advising the Fund on its acquisitions on a permanent basis
Transformation of the shareholding structure of Garsų pasaulis UAB, including buy-out of hostile equity holders and syndicated financing
Transfer of the Reval Hotel operatorship to the Rezidor Hotel Group
Reorganization of Danbalt International, one of the largest footwear and apparel consortiums in the Baltics
Several sale and leaseback transactions carried out by Norwegian-based investors (formerly known as Verdispar), including acquisition of Vinges Transsphere Logistika and nine MAXIMA stores, the aggregate value of such transactions exceeding LTL 200 million
Giving legal advice on the acquisition by Verdispar, a Norwegian investor, of a brownfield parcel in Klaipeda for over LTL 50 million
